 - "Alita Systems" refers to Alita Systems, Inc., including its subsidiaries and affiliates.
 - "User" refers to any individual or entity accessing our Services.
 - "Services" include all features, applications, and content provided by Alita Systems.
 - "Confidential Information" refers to any non-public information disclosed by either party.

2. User Responsibilities

 - Users are responsible for maintaining the confidentiality of their account credentials.
 - Users agree not to misuse our Services for illegal activities, unauthorized access, or infringement of third-party rights.
 - Users must notify us immediately if they suspect unauthorized access to their account.

 - Our Privacy Policy explains how we collect, use, and protect personal information.
 - Data retention policies ensure that user information is stored only as long as necessary to provide Services.

4. Service Availability and Reliability

 - We strive for 99.9% uptime for our Services, excluding planned maintenance and unforeseen outages.
 - Scheduled maintenance will be communicated in advance.
 - In case of a major service disruption, we will provide real-time updates and estimated resolution times.
 - Alita Systems is not liable for service interruptions beyond our reasonable control.

5. Confidentiality

 - We protect all Confidential Information and do not disclose it to third parties unless legally required.
 - Users agree to maintain confidentiality regarding proprietary information obtained through the Services.

6. Compliance with Legal and Regulatory Requirements

 - Alita Systems complies with SOC 2 Type 2 standards and other relevant regulations, such as HIPAA.
 - Users must comply with all applicable laws when using our Services.
 - We reserve the right to suspend or terminate accounts that violate regulatory requirements.

7. Third-Party Vendors and Subcontractors

 - We may engage third-party service providers to enhance our Services.
 - A list of subcontractors is available upon request, detailing how they meet security and compliance standards.
 - Users consent to the involvement of such vendors in the delivery of our Services.

8. Limitation of Liability

 - Alita Systems is not liable for indirect, incidental, or consequential damages arising from the use of our Services.
 - Maximum liability under these Terms is limited to the amount paid for the Services in the last 12 months.

9. Changes to Terms

 - We reserve the right to modify these Terms at any time.
 - Users will be notified of material changes via email or a prominent notice on our website.
 - Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.

10. Refunds & Payment Terms

 - All fees are non-refundable unless otherwise specified. Subscriptions automatically renew unless canceled prior to the renewal date.
 - Users may cancel subscriptions via their account manager 30-days before the renewal date to avoid future charges.

11. Termination of Service

 - We may terminate or suspend access to Services for violations of these Terms.
 - Users may close their account at any time by contacting our support team.
 - Upon termination, data associated with the account will be deleted in accordance with our data retention policy.

12. Governing Law & Dispute Resolution

 - These Terms shall be governed by and construed in accordance with the laws of Oklahoma, USA,  without regard to its conflict of law principles.
 - Any disputes arising from these Terms shall be resolved through binding arbitration in Tulsa, Oklahoma, per the rules of the American Arbitration Association.

13. Protection of Intellectual Property and Code Use Restrictions

 - All content, software, and trademarks remain the property of Alita Systems. Users retain ownership of data they upload but grant Alita Systems a limited license to use it for service functionality.

 - Users acknowledge that all source code, scripts, software, algorithms, specifications, and related technical materials disclosed or made accessible by Alita Systems (“Code”) are the sole and exclusive Intellectual Property of Alita Systems. The User is strictly prohibited from:

• Copying, reproducing, reverse-engineering, decompiling, disassembling, modifying, or creating derivative works of the Code;

• Using the Code in any manner other than as expressly authorized in writing by the Alita Systems;

• Running, executing, or accessing the Code outside of the Alita Systems' provided application environment or delivery platform;

• Integrating the Code into any external systems, tools, or environments;

• Attempting to extract, isolate, or operate the Code independently or through any unauthorized mechanism.

• Using the functionality, structure, logic, or specifications of the Code to develop, replicate, or recreate similar functionality in their own software or products.

 - The Code may only be executed within the Alita Systems' proprietary application or platform as intended and provided. Any attempt to run or use the Code separately or in any unapproved manner shall constitute a material breach of this Agreement and may result in immediate termination of access and legal remedies.

14. Force Majeure

 - Alita Systems shall not be liable for failure to perform due to circumstances beyond reasonable control, including acts of God, internet failures, cyber incidents, or government actions.
